A Certificate of Amendment should be filed if you are materially changing an item from a previous document. For example, your business has moved, and you have a new address.
A Certificate of Correction should be filed if there was a mistake made on the initial filing of a previous document. For example, if you are correcting a typo in an officer name or a business address.
For security purposes, after 30 minutes of inactivity all information will be lost.
The New Jersey Information Division of NICUSA, Inc. (NICUSA-NJ), an electronic government partner with the State, will process your payment through an upgraded and secure payment gateway. NICUSA-NJ will remit to the State of New Jersey all payments and amounts owed to the State.
The online charge processed through NICUSA-NJ includes funds in excess of payments owed. NICUSA-NJ uses the excess funds solely to develop, run, maintain, enhance and expand the State’s electronic service offerings. NICUSA-NJ does not share any excess funds with the State of New Jersey.
"Electronic check" is the term for using a checking account to make payments on the Internet. A customer will be asked to enter appropriate checking account information to validate the account. The account used must have sufficient funds to cover the transaction cost.
You may validate certificates by using Validate Certificate. At this time, the following Certificates may be validated: L-102, C-102. You must wait one (1) business day for certificate validation to become available.

For the Registration of Alternate Name Filings (C-150G), the Penalty Fee applied is a $50.00 for each calendar year that the alternate name has been in use prior to the current year.
For Renewal of Alternate Name Filings (C-150R), the Penalty Fee is $50.00 for LLCs & LPS and $25.00 for Corporations per year of delinquency.
There are additional Credit Card Fees based on the Statutory Fee + Penalty fee detailed in the table below. E-Check fees are always a flat $1.00 per transaction.

A merger is when 2 or more businesses are merging together and 1 of those existing companies will be the surviving entity.
A consolidation is when 2 or more businesses are merging together and there is a newly formed surviving entity.
Non-profit corporations can only merge with other non-profit corporations.
PA corporations can only merge with other PA’s. If you are merging with a non-authorized NJ Business, please select the FR business type.
A corporation can merge with any business type except a PA or a Non-Profit.
A LLC can merge with any business type except a PA or a Non-Profit.
Yes, as long as the new name is available you can change your business name during the merger. The name availability feature is built within the merger application.
If you are a New Jersey Authorized For-Profit Corporation (Types DP, PA, BDP, FR, DB) and you are leaving the state of New Jersey (You are merging with a Non-Authorized New Jersey Business and that Non-Authorized Business is the surviving entity of the merger) then you are required to provide a Tax Clearance Certificate in order to complete your merger filing.
